COSMIC SOL SEDONA PRACTITIONER COLLECTIVE

MEMBERSHIP TERMS AND CONDITIONS

These Membership Terms and Conditions (“Agreement”) are between Smileys Bunch LLC, doing business as Cosmic Sol Sedona (“Cosmic Sol”), and the person or business enrolling in the Cosmic Sol Sedona Practitioner Collective (“Member”).

By signing or purchasing a membership, Member agrees to the following:

1. Nature of the Collective

The Collective is a business coaching, marketing, professional-development, and collaborative membership for independent healing and wellness practitioners.

Membership is not a lease, sublease, employment relationship, partnership, franchise, or agency relationship. Member receives no ownership, tenancy, leasehold, exclusive-possession, or other property rights in the premises.

2. Studio Access

Membership includes up to the number of hours stated in Member’s selected plan of scheduled access to Cosmic Sol’s premises at:

Sedona, Arizona 86336

Studio access is a revocable membership privilege provided at no separate rental charge. Cosmic Sol retains possession and control of the premises at all times.

Access is subject to availability, advance scheduling, studio policies, occupancy limits, and Cosmic Sol’s lease. Member may not transfer hours, establish a permanent workspace, store property, receive mail, duplicate keys, use a separate suite number, or represent that Member leases or controls any portion of the premises.

Unused hours expire at the end of each membership month unless Cosmic Sol agrees otherwise in writing.

3. Independent Business

Member operates an independent business and remains solely responsible for Member’s services, methods, prices, scheduling, clients, income, expenses, taxes, records, and business decisions.

Member may accept or decline clients, work elsewhere, and promote Member’s own business. Cosmic Sol does not control the professional method or substance of Member’s services.

Membership alone does not make Member an employee, independent contractor, representative, or agent of Cosmic Sol. Any separate work performed directly for Cosmic Sol must be governed by a separate written agreement.

Member may not sign contracts, make promises, incur expenses, or otherwise act on behalf of Cosmic Sol.

4. Clients and Payments

Member contracts directly with Member’s clients and collects all client payments directly unless the parties make a different written arrangement.

Member is responsible for client intake, informed consent, confidentiality, records, refunds, disputes, taxes, and payment processing. Cosmic Sol is not responsible for unpaid appointments, chargebacks, client complaints, or claims arising from Member’s services.

5. Professional Requirements

Member must maintain all licenses, registrations, certifications, permits, insurance, and client documentation required for Member’s services.

Member agrees to follow all applicable laws, building rules, occupancy limits, safety requirements, and Cosmic Sol studio policies. Member may not:

  • Diagnose, treat, or claim to cure a medical or mental-health condition unless legally qualified to do so
  • Engage in illegal, unsafe, discriminatory, deceptive, or sexually inappropriate conduct
  • Create excessive noise, smoke, odors, or disturbances
  • Use open flames or hazardous materials
  • Permit unauthorized people to access the premises
  • Make structural changes or install signs without written approval
  • Represent Member’s business as owned, operated, or guaranteed by Cosmic Sol

6. Insurance and Responsibility

Member must maintain appropriate professional and general liability insurance and provide proof upon request.

Member is responsible for Member’s conduct, clients, guests, equipment, property, and any damage caused by them. Member agrees to reimburse Cosmic Sol for resulting losses, repairs, claims, or reasonable legal expenses to the extent caused by Member’s negligence, misconduct, or breach of this Agreement.

Cosmic Sol is not responsible for lost, stolen, or damaged property.

7. Coaching, Promotion, and Results

Membership may include group coaching, strategy sessions, promotional opportunities, referrals, directory placement, community access, and other benefits described in Member’s selected plan.

Cosmic Sol does not guarantee clients, revenue, search rankings, referrals, business growth, or any particular result.

Member gives Cosmic Sol permission to use business information, photographs, logos, biographies, and content supplied by Member to promote Member and the Collective. Member confirms that Member has the right to provide those materials. This permission ends upon written request, except for materials already printed or scheduled.

Cosmic Sol may decide which services, claims, products, images, or promotional materials it will feature under its name.

8. Fees and Cancellation

Member agrees to pay the recurring fee shown at enrollment. Payments are nonrefundable once processed except where required by law.

Membership continues monthly until canceled. Either party may cancel with 30 days’ written notice. Member remains responsible for payments due during the notice period.

Cosmic Sol may suspend studio access immediately for nonpayment, unsafe behavior, policy violations, lease violations, or conduct that threatens clients, the premises, Cosmic Sol, or other members. Serious violations may result in immediate termination without refund.

9. Community Standards

The Collective is built around collaboration, professionalism, honest communication, and respect for each practitioner’s work.

Member agrees to protect confidential information shared by other members, avoid harassment or solicitation that disrupts the community, make referrals honestly, and address concerns directly and professionally.

Membership does not guarantee exclusivity within any modality or prevent Cosmic Sol from accepting practitioners who provide similar services.

10. Changes and Governing Law

Cosmic Sol may make reasonable changes to scheduling procedures, studio policies, membership benefits, or operating rules. Material changes will be communicated to Member.

This Agreement is governed by Arizona law. If one provision is unenforceable, the remaining provisions remain effective. This Agreement, Member’s selected plan, and the current studio policies constitute the parties’ complete membership agreement.
